Priory Group, the leading provider of behavioural care in the UK, is pleased to confirm that it has become part of Acadia Healthcare Company, Inc.
All parties completed the transaction on 16 February 2016 further to the announcement on 4 January 2016 by Acadia regarding the definitive agreement signed with Advent International Corporation for the acquisition of Priory.
The terms of the transaction have remained as previously stated. In accordance with the terms of the purchase agreement, (i) an aggregate of 4.034 million shares of Acadia common stock have been issued to the sellers, and (ii) Acadia has paid a cash consideration of approximately £1.34 billion (or approximately $1.94 billion).
